Unified User Agreement

Effective Date: August 22, 2026 | Version 1.1

This Agreement should be reviewed by qualified legal counsel before relying on it. By clicking "I Agree", creating an account, or using the JIL Sovereign Wallet, you agree to be bound by this Agreement.

1. Parties, Acceptance, and Updates

1.1 Parties

This User Agreement ("Agreement") is between JIL Federation Technologies, Inc. (Delaware, USA) (the counterparty; "JIL", "we", "us") and you ("you", "User"). The JIL Wallet (getjil.com) is a business line of jilsovereign.net. The JIL L1 blockchain (jilsovereign.net) is infrastructure only. JIL Sovereign Technologies, Inc. (Delaware) operates vertical products (CMS, AREB, PIEB, CREB) and is not a party to this Agreement and has nothing to do with JIL L1 or the wallet.

1.2 Acceptance

By clicking "I Agree", creating an account, connecting a wallet, or using any part of the JIL Sovereign Wallet or related services (collectively, the "Services"), you agree to be bound by this Agreement and the policies incorporated by reference (see Section 2).

1.3 Eligibility

You must be at least 18 years old (or the age of majority where you live) and not prohibited from using the Services under applicable law.

1.4 Changes

We may update this Agreement from time to time. If we make material changes, we will provide notice through the Services or other reasonable means. Continued use after the effective date constitutes acceptance.

2. Incorporated Policies (By Reference)

This Agreement incorporates:

If there is a conflict, the most specific document controls for that subject.

3. Service Overview (What We Provide)

The Services may include:

  1. Protected wallet software (you authorize every sign; JIL retains one signing share; see Section 4). JIL does not hold or control user assets.
  2. Secure Data Vault (SDV) features for encrypted storage and attestations.
  3. Transfers (send/receive supported digital assets).
  4. Purchases / Off-ramp / On-ramp via licensed third-party providers (fiat to crypto and crypto to fiat).
  5. Compliance features (identity verification, sanctions screening, transaction risk checks).
  6. Support and communications related to your use of the Services.

We may add, change, suspend, or discontinue parts of the Services.

4. Protected Wallet and Key Responsibility

4.1 Platform-held shard (not classic self-custody, not an exchange omnibus)

The Wallet is a protected wallet. You authorize every sign (passkey and, where enabled, second-factor authentication). On the default service key, shares are created server-side and signing reconstructs the secret in memory. This is not "only you hold keys". Hardware wallets and Gnosis Safe are the paths where you control keys. FROST-class threshold signing is not shipped. JIL does not hold user assets in an exchange omnibus. You remain responsible for your devices, passkeys, and recovery methods.

4.2 Signs: refuse, delay, no reverse, no freeze

JIL may refuse or delay a sign that has not yet occurred (identity, sanctions, or policy). JIL cannot reverse a sign after it has already occurred. JIL cannot freeze user assets via subpoena or otherwise. The platform-held share is how an unsigned request can be refused or delayed. It is not an omnibus freeze of balances and not a reversal of a committed sign.

4.3 Death and recovery (wallet policy, not JIL control)

Death and recovery are handled in the user wallet policy. JIL does not take control of assets by any measure. If you lose access to your signing authority, recovery factors, devices, or credentials, you may permanently lose access to your digital assets. We may provide recovery tools you enroll; we do not guarantee that recovery will succeed, and we do not take control of assets to effect recovery.

4.4 Your security duties

You agree to:

5. On-Ramp / Off-Ramp and Third-Party Providers

5.1 Third-party service providers

Certain features (including payment processing, card purchases, bank transfers, and fiat conversion) may be provided by third parties ("Third-Party Providers"). Your use of those features may require you to accept the Third-Party Provider's terms.

5.2 Merchant of record, where applicable

For some fiat purchase flows, a Third-Party Provider (or we, depending on the integration) may act as merchant of record for the fiat portion of the transaction.

5.3 No control over third-party protocols

When you access bridges or third-party protocols through the Wallet, you interact with systems that we do not control. Transactions on blockchain networks are generally irreversible.

5.4 Partner outages and routing changes

Third-Party Providers may change fees, availability, or supported regions without notice. We may change routing among providers for reliability, price, compliance, or risk reasons.

6. Transactions, Settlement Finality, and User Instructions

6.1 You authorize transactions

You are responsible for verifying transaction details (recipient address, amount, asset, network, and fees) before authorizing.

6.2 Finality

JIL cannot reverse a sign after it has already occurred. Blockchain transactions are generally final once confirmed. We cannot reverse, cancel, or refund a blockchain transaction solely because you made an error.

6.3 Transaction simulation and estimates

Any quotes, simulations, slippage estimates, fee estimates, or execution previews are estimates and may differ at execution due to network conditions, liquidity, and volatility.

7. Fees, Price Disclosures, and Taxes

7.1 Fees

Fees may include:

Fees will be disclosed at the time of the transaction or in the Fee Schedule.

7.2 Taxes

You are responsible for determining and paying any taxes that apply to your transactions. We may provide transaction histories, but we do not provide tax advice.

8. Compliance: KYC/KYB, AML, Sanctions, and Monitoring

8.1 Identity verification

We (or our Third-Party Providers) may require identity verification and other onboarding information to comply with AML/sanctions obligations.

8.2 Prohibited users and jurisdictions

You may not use the Services if you are:

8.3 Monitoring and risk controls

We may:

We cannot freeze user assets via subpoena or otherwise. We cannot reverse a sign after it has already occurred. Suspension of access is not a freeze of assets on JIL L1.

9. Prohibited Use

You may not use the Services to:

10. Risk Disclosures (Crypto-Specific)

You acknowledge and accept the following risks:

You accept these risks as a condition of using the Services.

11. Content, SDV Data, and Privacy

11.1 Your content

You retain rights to content you upload or store in the SDV. You grant us a limited license to process it solely to provide the Services.

11.2 Sensitive data

Do not store data that you are not legally allowed to store or transmit. Do not upload illegal content.

11.3 Privacy

Our Privacy Notice describes how we process personal data, including what is required for compliance.

12. Intellectual Property

We and our licensors own the Services, software, and branding. You receive a limited, revocable, non-exclusive license to use the Services in accordance with this Agreement.

13. Suspension, Termination, and Service Limits

We may suspend or terminate your access if:

We may impose transaction limits, region limits, or feature restrictions. None of the foregoing is a freeze of user assets, a reversal of a committed sign, or JIL taking control of assets.

14. Disclaimers

14.1 No financial advice

The Services do not provide investment, legal, or tax advice.

14.2 No warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14.3 No guarantee of execution

We do not guarantee that any purchase, transfer, or off-ramp will execute at a particular price or within a particular time.

15. Limitation of Liability

To the maximum extent permitted by law:

Nothing limits liability for fraud or willful misconduct where prohibited by law.

16. Indemnification

You agree to indemnify and hold us harmless from claims arising out of:

17. Dispute Resolution

18. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where mandatory consumer laws apply.
